Welcome to Idometrics. These Terms of Service ("Terms") govern your use of our platform, including all features, functionalities, and services provided by Idometrics, and form a legally binding agreement between you and Idometrics (hereinafter referred to as "Idometrics," "we," or "us"). If you do not agree to these Terms, please do not use our services. For any inquiries, contact us at support@idometrics.com.

If you are under the age of 18, you may only use the Services with the consent of your parent or legal guardian, who should review these Terms with you.

Accepting the Terms

By accessing or using our Services, you confirm that you can form a binding contract with Idometrics, that you accept these Terms of Service (End-User License Agreement), and that you agree to comply with them. Your use of the Services also constitutes acceptance of our Privacy Policy and Community Guidelines. By using the platform, you consent to the practices outlined in our Privacy Policy, including data processing and international transfers. We recommend that you print or save a copy of these Terms for your records.

Definitions

Platform: Idometrics' website, mobile applications, and associated services.
User: Any individual or entity accessing the platform.
Content: Videos, comments, text, and any other media uploaded or shared.
UGC: User-Generated Content uploaded to the platform.

Account Registration & User Responsibilities

To access or use certain Services, you must create an account with us. As a user, you agree to:

Be at least 18 years old or have parental consent.
Provide accurate, up-to-date information and maintain account security.
Accept responsibility for all activities conducted under your account.
Account violations may result in suspension or termination.

User-Generated Content (UGC) & Intellectual Property

A- Ownership & Licensing

Users retain ownership of their uploaded content.
By uploading content, users grant Idometrics an unconditional, irrevocable, non-exclusive, royalty-free, fully transferable, perpetual worldwide license to use, modify, adapt, reproduce, create derivative works of, publish, transmit, and distribute your User Content within or on any platform hereafter developed.
By uploading content, you further grant Idometrics a royalty-free license to use your username, image, voice, and likeness to identify you as the source of your User Content (subject to any age-related limitations).
Idometrics reserves the right to disclose your identity to any third party asserting that User Content violates their intellectual property or privacy rights.
Blockchain-authenticated dances will remain permanently on the blockchain due to their immutable nature.

B- Restrictions on Monetization & Use of User Content

Revenue and Goodwill Generation: You acknowledge and agree that we may generate revenue or increase goodwill from your use of the Services (for example, through advertising, sponsorships, promotions, or usage data).
Restrictions on Monetization: Except as expressly permitted by these Terms or a separate agreement, you have no right to:
- Receive any income or share in any revenue generated from your User Content.
- Monetize your content on any third-party platform (for example, monetizing videos on YouTube or social media platforms).

C- Content Moderation & Safety

To keep Idometrics a safe, welcoming space for all creators and viewers, we’ve implemented the following rules and tools:

By uploading or sharing any Content, you agree to our community guidelines. We do not allow hate speech, harassment, bullying, pornography, or any other harmful or offensive material. Violations will result in content removal and account suspension.
All users must acknowledge and accept these Terms of Service and our Community Guidelines at account creation, which include these moderation terms.
We automatically detect and block known objectionable words, images, and behavior patterns before they go live.
All flagged items are queued for human review to minimize false positives.
Every piece of UGC carries a “Report” button.
Users can select predefined categories (e.g., “spam”, “nudity or sexual activity”, “hate speech or symbols”, “bullying or harassment”) and add optional details.
Reports are tracked in our moderation dashboard.
From any user’s profile or comment, you may click “Block” to prevent further interactions (comments, relate requests, messages) from that user.
Blocked users cannot view or engage with your Content.
Within 24 hours of receiving a valid report of objectionable content, Idometrics will remove or restrict access to the offending content, eject (suspend or terminate) the account responsible for the violation, and notify the reporting user of the action taken.
In severe cases (e.g., credible threats of violence), we reserve the right to take immediate action.

AI-Generated Recommendations & Automated Decision-Making

Idometrics uses AI for the Creativity Similarity Matrix to assess originality in videos.
AI does not make final decisions on content moderation or user bans, human review is always involved.

AI Disclaimer: While we strive to ensure fairness and transparency in AI-driven recommendations, AI models may reflect biases present in the data. We continuously work to improve fairness, but users should review recommendations critically.

Blockchain & Data Permanence

Certain platform activities, including content authentication and copyright protection, involve blockchain transactions.
Blockchain-stored data is immutable and cannot be altered or deleted.
Personal data and videos are stored off-chain and can be deleted upon request.

By using Idometrics, users acknowledge that blockchain transactions are permanent.

Licensed Audio & Copyright Restrictions

Idometrics offers access to a licensed Audio Library containing copyrighted songs and user-submitted audio. The following conditions apply:

Songs provided by Idometrics under third-party licenses are available for in-app use only. These tracks must not be downloaded, copied, remixed, redistributed, or used outside the Idometrics platform.
Users may upload their own original music or songs for which they hold all necessary rights. By uploading, users grant Idometrics a non-exclusive, royalty-free license to share the song within the platform’s Audio Library, accessible by the Idometrics community for in-app use only.
Licensed or user-uploaded audio may only be synced with videos created within Idometrics.
Audio content may not be used for external distribution or monetization.
Users may not alter or remix licensed music or other users’ uploaded songs. This is not allowed at this time.
Users must adhere to all applicable copyright laws and additional third-party licensing terms. Unauthorized use of audio content may result in content removal, account suspension, or legal action.

Third-Party Services & Integrations

Idometrics integrates with select third-party services to support features such as media hosting, authentication, analytics, blockchain interaction, payment processing, music recognition, and messaging. These include, but are not limited to:

Media Storage: Cloudinary, DigitalOcean
Payment Processing: Stripe
Database management: MongoDB
Authentication: Google, Apple, and Facebook OAuth
Blockchain Interaction: Polygon & Infura
Pose Detection: TensorFlow PoseNet
Music recognition: ACRCloud
Notifications: OneSignal
Messaging: Stream Chat

These providers may process personal data according to their own privacy policies. By using Idometrics, you consent to such integrations. See our Privacy Policy for more information.

Payment & Transactions

Payment functionality is currently under development and not yet available on the Idometrics platform. When enabled, users may be able to purchase premium features or services through the platform.

All payments will be final and non-refundable, except where required by applicable law.
Payment processing will be handled by third-party providers (e.g., Stripe), and transactions will be subject to their respective terms and privacy policies.
By making a purchase, users will be deemed to have accepted the terms set by our payment processors.

Copyright & Intellectual Property Infringement Policy

This policy is designed to comply with applicable local and international copyright laws, including notice-and-notice requirements under Canada’s Copyright Act (R.S.C., 1985, c. C-42) as Idometrics expands its operations.

If you believe that content on our platform infringes your intellectual property rights, please send a notice to support@idometrics.com including all of the following:
- Your name and contact information.
- A description of the copyrighted work you claim has been infringed (including registration details, if any).
- A link or clear description of where the allegedly infringing content appears on Idometrics.
- A statement, under penalty of perjury, that you have a good-faith belief the use is unauthorized.
- A statement that the information in your notice is accurate, and that you are the rights holder or authorized to act on the rights holder’s behalf.

Upon receipt, Idometrics will promptly investigate, forward your notice to the content creator as required, and take appropriate action, such as disabling access to the material or suspending the responsible account.

App Stores

To the extent permitted by applicable law, the following supplemental terms shall apply when accessing the Idometrics Platform through third-party app stores or similar distribution channels:

A- Apple App Store

By downloading the Idometrics Platform from an Apple device or from Apple’s App Store, you acknowledge and agree that these Terms are solely between you and Idometrics; Apple is not a party to these Terms.
You are granted a personal, limited, non-exclusive, non-transferable license to install and use the Platform on the Apple device(s) you own or control for personal, non-commercial use, subject to the Usage Rules set forth in Apple’s App Store Terms.
Apple is not responsible for the Idometrics Platform or its content and has no obligation to provide any maintenance or support services.
In the event that the Platform fails to conform to any applicable warranty, you may notify Apple. To the maximum extent permitted by law, Apple may refund the purchase price of the Platform; however, Apple disclaims any further warranty obligations.
Apple is not responsible for any claims related to your possession or use of the Platform, including (but not limited to) product liability claims, claims that the Platform fails to meet legal or regulatory requirements, or claims arising from alleged intellectual property infringement.
You represent and warrant that you are located in Canada and are not subject to any Canadian government sanctions, embargoes, or other restrictions that would prohibit your use of the Services.
Apple and its subsidiaries are considered third-party beneficiaries of these Terms and may enforce these Terms against you as such.
Idometrics expressly authorizes the use of the Platform by multiple users through Family Sharing or any similar functionality provided by Apple.

B- Google Play

By downloading the Idometrics Platform from Google Play (or its successors) operated by Google or its affiliates, you acknowledge and agree that: In the event of any conflict between (a) the Google Play Terms of Service (including the Google Play Business and Program Policies) and (b) these Terms, the Google Play Terms shall govern your use of the Platform obtained from Google Play.
You acknowledge that Google is not responsible for any compliance or non-compliance by Idometrics or you under these Terms or the Google Play Terms, and Google shall not be held liable for any issues arising therefrom.

Prohibited Activities and Content

A- Prohibited Uses of the Platform

Users may not:

Use the platform for illegal or fraudulent activities.
Distribute malicious software, spyware, or phishing scams.
Engage in automated scraping or harvesting of data.
Impersonate another person or entity.

Any violation may lead to account suspension, content removal, or legal action.

B- Prohibited Content

Users may not upload content that:

Infringes on copyrights, trademarks, or intellectual property.
Contains hate speech, nudity, or violent material.
Promotes misinformation, fraud, or scams.

Idometrics reserves the right to remove content that violates these Terms. Note: Any content prohibited here is subject to the processes and 24-hour response timelines defined in ‘Content Moderation & Safety’.

Data Privacy & Compliance

We process personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and any successor federal or provincial privacy statutes that apply to us.
As we expand internationally, we will also comply with all applicable local data protection laws (for example, the EU’s GDPR or other regional requirements) and will update this Agreement to reflect those obligations.
We monitor the progress of the proposed Consumer Privacy Protection Act (CPPA) and the Artificial Intelligence and Data Act (AIDA). Once these Acts come into force, we will update our practices and this Agreement to ensure compliance.
Details of how we collect, use, store (including our use of AWS servers in us-east-1, USA), and disclose personal information are set out in our Privacy Policy, which forms part of these Terms.
You may exercise your rights of access, correction, deletion, and, where available, data portability by emailing support@idometrics.com. We will respond within 30 days, subject to identity verification and any lawful exceptions.
When portability applies, we will provide your data in a commonly used machine-readable format such as JSON or CSV.

Termination & Suspension of Accounts

We may suspend or terminate accounts if users:

Violate these Terms.
Engage in fraudulent, illegal, or abusive behavior.
Are subject to legal or regulatory actions that require account restrictions.

Users may request account deletion via support@idometrics.com.

Limitation of Liability, Force Majeure & Disclaimer

A- Limitation of Liability

To the fullest extent permitted by law, Idometrics is not liable for:

User actions or content uploaded to the platform.
Loss of data due to technical failures.
Third-party service outages or security breaches.
Blockchain immutability prevents data deletion on the blockchain.

B- Force Majeure Clause

Idometrics shall not be held liable for any failure or delay in performance due to unforeseen events, including but not limited to natural disasters, cyberattacks, government restrictions, or network failures beyond our control.

Users use the platform at their own risk.

Indemnification

Users agree to defend, indemnify, and hold Idometrics harmless from any claims, liabilities, damages, and expenses arising from:

Content uploaded by the user.
User violations of these Terms.
Unauthorized use of blockchain-stored data.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.

In the event of any dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved, the dispute shall be submitted to binding arbitration before resorting to litigation, unless otherwise required by law.

Feedback

We value the ideas and suggestions from our community. If you choose to provide feedback, including ideas for products, services, features, modifications, enhancements, or any related materials (“Feedback”), please note the following:

No Obligation: Idometrics is under no obligation to review, consider, or implement any Feedback.
Non-Confidentiality: Any Feedback you send is provided on a non-confidential basis; we are not required to keep it confidential.
License Grant: By submitting Feedback, you irrevocably grant Idometrics a perpetual, unlimited, royalty-free license to use, modify, reproduce, distribute, create derivative works of, and otherwise exploit the Feedback (in whole or in part) for any purpose without attribution or compensation.

Changes to These Terms

We may update these Terms periodically. The latest version will always be available within the app. Users will be notified of major changes via email or in-app alerts.

Continued use of the platform constitutes acceptance of the updated Terms.
